Sportico’s Michael McCann lays out the likely legal strategies for the ACC against Florida State: “First, the ACC will likely portray FSU as contractually complicit with the policies it now opposes. Although FSU implies the conference acted on its own, like a stand-alone entity that imposed rules on members, the ACC could insist that meetings with member schools were held and votes were taken. Expect the ACC to detail FSU’s direct involvement and perhaps leadership with rulemaking and policy-shaping. Second, the ACC will assert it met its contractual obligations. Many of the terms FSU references are aspirationally worded, such as engaging in ‘responsible financial management,’ and lack measurable benchmarks. [...] Third, the ACC can point to judicial deference to private membership organizations. This has been a factor in college sports legal controversies, including the recent (and brief) battle between Michigan and the Big Ten. Courts generally defer to conference decision-making and require members to meet contractual obligations.” (link)

USA Today’s Dan Wolken: “No matter which side you’re on, only the court’s opinion matters in determining who's right. And it's not even totally clear how FSU will get on even financial footing with the SEC and Big Ten even if they win their freedom from the ACC. As of now, neither league has shown great interest in adding Florida State, and it’s not a certainty that either one would act unless they could make more money for their current members by adding the Seminoles. But the theory Florida State is acting on here is logical: College sports has shown a propensity over and over for the most valuable brands to congregate into a smaller number of leagues. Even if it takes one or two more cycles of realignment, Florida State will eventually have to be among that group. [...] If Florida State is successful in wrecking the ACC’s media rights deal, the floodgates suddenly open to a world where Clemson, North Carolina and Virginia -- the other three most valuable properties in the ACC — also become available. Are the Big Ten and SEC just going to sit idly by and let the other one gain the upper hand? Of course not. In realignment, you either get criticized for acting or you lose your job for not acting. Related to Florida State’s gambit is the future of media revenues for college athletics & at least one major media executive predicts the College Football Playoff’s new deal “won’t get the rights fee increase it wants as ESPN will be the only significant bidder.” More from CNBC’s 13 major media predictions for 2024: “Other than the NBA, the College Football Playoff may be the next most important rights deal to be renewed next year. The CFP’s current 12-year deal with ESPN expires after the 2025 playoff. At that time, the college football playoffs will expand from four teams to 12. That may sound enticing as a new live sports behemoth, but this executive guesses that potential bidders Amazon and Apple will balk at the price the CFP wants for the games. ESPN is desperate for live rights as it prepares a direct-to-consumer service and will renew the package, this executive predicts.” (link)

More transfer policy changes could be on the way per Yahoo’s Ross Dellenger “including abolishing the year-in-residency penalty, increasing transfer academic eligibility requirements and levying financial penalties on schools that don’t meet academic benchmarks.” The information comes from a two-page NCAA Division I Board of Directors and Division I Council document obtained by Dellenger & also includes other possible legislative options like requiring schools to ‘develop a path’ to graduation for transfer student-athletes, developing a new academic metric to measure a schools graduation rate of transfers and/or amending the current revenue distribution model to require schools to meet academic benchmarks tied to the new formula. Gonzaga AD Chris Standiford believes adding Washington State and Oregon State in multiple sports will be an overall positive for the WCC, particularly in women’s basketball, where “it’ll be really terrific for our program to have some really worthy competitors that are added to the league.” Standiford also discusses ongoing realignment and says now that “college athletics has become pretty unstable, we see it as an opportunity. With change comes opportunity, and hopefully we’re able to capitalize on something now. … We’re in a situation where the judiciary has really changed the definition of a student-athlete and how we respond to that as an industry is really in question. Cleary, President Baker has a vision that I believe is very rooted in his experience as a politician to try and gain some antitrust exemption relief so the NCAA can govern again and yet at the same time we’re not going back. … The question is how are we going to adapt as an industry and be able to economically support [NIL] as well as the really critical mission-driven experiences that we have in college athletics for our students.” Before the industry can adapt, Standiford believes it’s important to address the reality that football is different than other sports, particularly insofar as there isn’t a professional pathway comparable to that of other sports. “Until we really have an honest conversation about the economics of college athletics we’re not really going to get to the solution.” Full interview. The Athletic’s Kyle Tucker chronicles James Madison’s ascension as an athletic program with several nationally ranked teams, including football and men’s basketball, and Dukes AD Jeff Bourne explains: “From 2006 to 2012, we built our infrastructure based on FBS schools. We looked at North Carolina for some things, looked at strength and conditioning at Nebraska, used Wake Forest as a model in how we built our support arm. All those things were FBS-ready at that point, so there were very, very little changes we had to make once this transition started. We were pretty much already there. We’ve built this as a sustainable program, not a flash in the pan or one that will go away.” Bourne also points out that “men’s basketball has been the one where we’ve tried and tried to do really well and make the tournament and just couldn’t. For me, a large part of it was all the infrastructure pieces coming together. The arena now makes it easier to recruit to campus, so all the pieces of the puzzle have really fallen together.” More from Tucker. (link)

VP for Athletics and Recreation/Governance and Performance/SWA Shoshanna Engel Lewis joins Connect/MB Sports’ Matt Banker from the 2023 Women Leaders National Convention to discuss the most pressing issues in the industry and her perspective on preparing and leading through change as a member of the Modernization of Rules Subcommittee. On what she’d like to see changed by this time next year, Engel Lewis says: “For me, unlocking a lot of the other challenges we have is to simplify our governance process. … I’m a strong believer in clarity on who makes decisions and how decisions are made is really helpful for an organization. Being a large governing body, I think on a national level creating more simplicity but clarity and guiding decision-making matrix – which we already have, we have a constitution, we have Division I principles – but I would love to see that simplified so that we can really lean into what matters and then have a pathway to craft rules that we can reasonably enforce in that way.” Full Q&A on Connect. With the NIL rumor mill + transfer portal combo in full swing, one Power 5 collective operator to Front Office Sports’ Amanda Christovich: “You can say whatever you want, because no one knows … no one talks numbers. Even our athletes lie about what they make to other athletes on the team.” Student Athlete NIL founder Jason Belzer’s take on the alleged $20M offer to Ohio State football student-athlete Marvin Harrison Jr: “On the record: It’s absolute bulls—.” One thing the majority of Christovich’s interviewees agreed on is that athletes at the top tier will make in the ballpark of seven figures, but likely from a combination of money earned from the collective and from their own NIL deals. Former INFLCR CEO Jim Cavale, who has since founded Athletes.org, likens the situation to the pros, “You don’t know what Aaron Rodgers makes from a State Farm Deal, but you do know what he makes with the Jets.” (link)

“Disillusionment with management is reaching new heights” at Sports Illustrated, according to VANITY FAIR’s Tom Kludt. Since 2021 when SI fell under the stewardship of Arena Group, the publication has “endured several rounds of painful layoffs” and “drifted further from its founding ethos.” Arena has imposed story quotas on writers, something which the union’s contract with management “explicitly bars,” but which Arena characterizes as “goals.” After CEO Ross Levinsohn was terminated last week and 5-Hour Energy founder Manoj Bhargava was appointed interim leader, the verdict is still out on how the move will impact staff morale. He is “still a bit of an enigma” inside SI, but staffers are “convinced that he cares about little more than the bottom line.” (link)

Nike finished Q2 up 1% YOY with overall sales of $13.39B and profit climbed 19% to $1.5B, but the company expects “softer” sales for the second half of its fiscal year and projects a revenue growth of approximately 1% YOY when the books close in May 2024. According to CFO Matt Friend, outside of heavy shopping moments like those tied to back-to-school shopping and Black Friday, the company also experienced weaker traffic to its digital platforms and competitors offered higher levels of promotions. Nike intends to shave up to $2M in costs over the next three years “through streamlining the organization and shedding employees, among other moves.” The savings will be used to invest in its women’s and running divisions as well as the Jordan brand, according to Friend, who notes Nike also plans to increase the use of technology and automation across its business. Shares of the Swoosh plummeted nearly 11% in after-hours trading. (link)

The Seminoles’ Gambit…
+ Florida State has filed a legal complaint against the ACC as part of a first step to eventually leave the conference. FSU outside counsel David C. Ashburn, during this morning’s trustees meeting, laid out the school’s case and described the ACC’s withdrawal penalty structure of $572M and the league’s grant of rights as a violation of Florida statutes and “unenforceable.” As for the GOR itself, FSU attorneys say they do not possess fully executed copies of the document as schools are not allowed to photograph or reproduce the GOR verbatim; however, the school does have unexecuted copies of the 2013 GOR and 2016 amendment it obtained “from the internet,” per Yahoo’s Ross Dellenger, who adds: “The legal filing sets in motion a litigation process by which the school will have the opportunity to gather information and ‘actual copies’ of agreements, Ashburn told board members. The action, he hopes, will bring ‘meaningful discussion’ with the conference. … Most of the ire at the board meeting was directed at three fronts: the ACC’s lack of transparency around the grant of rights document; FSU's being left out of the College Football Playoff, which board members say did not spur this action but might have accelerated it; and the ‘mismanagement’ by the ACC’s previous administration around its television contract.” Seminoles AD Michael Alford: “This isn’t a relationship issue. It’s a math problem.” Dellenger also points out the “legal move is not expected to serve as a notice of departure to the ACC. Any departure from the ACC would be more than a year away. FSU is guaranteed to compete in the ACC in the next academic year and would have to notify the conference by Aug. 15, 2024, if it wanted to leave in time to compete elsewhere in the 2025 football season.” More from Dellenger. + The ACC proactively filed a complaint against Florida State yesterday in which it notes that in signing the Grant of Rights, FSU explicitly agreed that it would not “take any action, or permit any action to be taken by others subject to its control…that would affect the validity and enforcement' of the Grant of Rights. … Florida State now intends to breach its contractual obligations not to challenge the validity or enforceability of the Grant of Rights, to breach its promise that its Grant was ‘irrevocable’ and ‘exclusive,’ to intentionally violate the warranties of the ESPN agreements, and to challenge the Grant of Rights under which it has accepted hundreds of millions of dollars over the last decade. … Consequently, the ACC seeks a declaration that the Grant of Rights signed by Florida State in 2013 and 2016 is valid and enforceable and that Florida State is equitably stopped from challenging the validity or enforceability of the Grant of Rights.” Full complaint filed by the law firm of Womble Dickinson Bond. + The News & Observer’s Andrew Carter summarizes the Noles’ legal claims against the ACC. FSU argues that ACC’s exit fees and GOR penalty violate Florida antitrust law; that the GOR’s exit penalty is unenforceable; and that the ACC is in breach of contract and its fiduciary duty. (link)
+ The Athletic’s Nicole Auerbach and Chris Vannini expand on the suit’s arguments. They note that FSU estimates leaving the ACC now would cost the school $572M, including $429M for the forfeiture of media rights through 2036 ($33M for 13 years), $13M for unreimbursed broadcast fees ($1M for 13 years); and the exit fee of three times the total operating budget for the ACC, which is approximately $130M. The suit also notes ESPN has “a unilateral option to extend that Agreement” at the 2012 rate for an additional nine years through 2036 and alleges that members were required to sign and extend the GOR through 2036 even though the media rights contract with ESPN was not guaranteed to extend through the same period. From the suit: “Florida State is a victim of chronic mismanagement by ACC leadership and finds itself unable to effectively evaluate alternatives while the Severe Withdrawal Penalties and the (grant of rights) hang over Florida State’s head. The NCAA yesterday sent guidance to its members stating that football players entering the transfer portal this fall are eligible to play immediately at their new school next year even if they are transferring for a second time or more, per Yahoo’s Ross Dellenger. The transfers, however, are subject to “any academic eligibility standards required for competition that may be developed or modified for the 2024-25 academic year.” The guidance was part of a Q&A sent to members says specifically: “It is not certain at this time whether the preliminary injunction will remain in effect during the 2024-25 season; however, as long as the undergraduate student-athlete transfers to another Division I institution during the 2023-24 academic year, the student-athlete will not be subject to Bylaw 14.5.5.1 during the 2024-25 academic year. The student-athlete would still be subject to any academic eligibility standards required for competition that may be developed or modified for the 2024-25 academic year.” (link)

JohnCanzano.com’s namesake reports the settlement between Oregon State & Washington State with the Pac-12 will leave the Pac-2 with a $255M “warchest.” Per an inside source: “We have a term sheet. We still don’t have a definitive final agreement. It will be a month or two before this thing gets papered, but we’re close enough that everyone feels comfortable.” Also notable from Canzano: “The Pac-12 faces several ongoing lawsuits, including a wrongful termination suit brought by the former CFO Brent Willman and Mark Shuken, president of the Pac-12 Networks. Said one person with direct knowledge of the negotiations: ‘We were hung up over what could be done about the liabilities. It was a big f***ing issue.’ I’m told this was the last piece that came into place with the settlement agreement. The sides agreed to share the responsibility for any ongoing liabilities. The parties also agreed to keep the details of that piece of the settlement confidential. Said a source at one of the departing schools: ‘The conference doesn’t want to put a target on its back and have someone come after the pot.’” Lots more. (link)

The West Coast Conference has officially added Washington State and Oregon State as affiliate members in 12 sports for the next two seasons. Those sports include men’s basketball, women’s basketball, women’s soccer, volleyball, men’s golf, women’s golf, women’s cross country and women’s rowing. OSU will also join for men’s soccer and softball, while Washington State will compete in the WCC in women’s tennis and men’s cross country. The Beavers’ gymnastics, wrestling, indoor/outdoor track & field and men's rowing teams will continue competing as members of the Pac-12, and OSU is still exploring opportunities for its baseball program. Meanwhile, Wazzu continues to explore potential landing spots for men's and women's track and field, swimming and baseball. (link, link, link)

Nebraska AD Trev Alberts believes college football leaders need to take a “holistic vision” of the sport and reform it, explaining on his monthly radio show: “Everything must be on the table. No matter how radical of an idea that you can think of or hear of, I think now is the time to examine everything.” The NCAA, he adds, will have “emergency legislation” to vote on at next month’s convention. “It’s an effort for the NCAA to say, is it time for us to expand benefits to student-athletes — including economic benefits? That’s really what we’re talking about. So it’ll be interesting to see how the membership responds to that. And then I think the response after that will be important to a few schools. Because we’re in challenging times. And we’ve got to think differently, we’ve got to be more nimble and we’ve got to adapt and change. The status quo is not working.” (link)

+ Louisville AD Josh Heird following yesterday’s men’s hoops loss to Kentucky says Cardinals HC Kenny Payne “and I have had a number of conversations throughout the last week, and Kenny is going to serve as our head coach as we move into the new year. And I'm going to do what I do with every one of our programs, which is evaluate what's happening throughout the season. … I think, if there's anything that is going to make me significantly reconsider the timeline, or the timeframe for a coach, it's going to be if there's overwhelming negativity, or lack of support in the locker room. And that is not the case right now.” Heird adds: “I feel confident that Kenny knows where I am, relative to the evaluation of the program. And that, I think, is one of the things that is hard for anyone to understand. We can't all be involved in every conversation. But I think I've done a good job of being extremely honest with our head coaches. And that sure isn't going to change, as long as I'm in this position. So, Kenny and I continue to have dialogue, and he understands where he is relative to the head coaching position here.” (link)

New Mexico State and AD Mario Moccia have filed a response to a civil suit regarding the hazing allegations within the men’s basketball program last season, and plaintiffs’ attorney Joleen Youngers says she’s surprised at the denials in the response “because they contradicted what I'd seen in other writings.” For instance, Youngers’ argument states that “NMSU has acknowledged that there was a report of abuse made known to Mario Moccia on Dec. 31, 2022.” Youngers says NMSU denies that, but in a document NMSU filed against former MBB HC Greg Heiar during his arbitration process, NMSU admits they received a complaint from the father of a student manager on Dec. 31, 2022. Youngers: “What's it going to be? Either it happened and NMSU is going to take responsibility for it, or NMSU is now going to fight the very things it admitted publicly in prior press conferences.” (link)

The UCF-focused Kingdom NIL collective leveraged the contentious tradition of the Knights playing Frankie Valli's “Can’t Take My Eyes Off You” in the fourth quarter to raise nearly $27K from over 140 people this week. Executive Director SJ Touhy: “To raise that much money while having some fun doesn't happen a lot. I think, at least on the surface, to me, everybody had a fun time and everybody was a good sport, and that doesn't happen a lot. For us, it was a major success, and it really was a great way to get people involved with the Kingdom who hadn't been involved before and that part's huge.
