The NCAA’s Point of View: House Settlement…

+ Rakesh Kilaru, lead attorney for the NCAA in the House, Hubbard and Carter settlement, joins Tulane Sports Law Director Gabe Feldman’s SportsWise podcast to discuss the mechanics of the settlement, what it means in the big picture, how the NCAA believes it is protecting itself from future antitrust lawsuits and more. + Kilaru: “It’ll be a 10-year settlement where we're hoping and expecting that it'll get approved, and so the court will agree that the terms of the settlement are fair and reasonable for the class. And we'll get through that the ability to enforce rules on things that don't come within the four corners – for example, payments in addition to or above how the pool is going to operate. I think that 10-year stability period is important in that you’ll have essentially a court decree saying that this system is workable, saying that it's fair and saying that it's not an antitrust violation. So we think that will provide significant stability going forward.” 

+ Kilaru notes student-athletes will have the chance to voice their concerns about the settlement, “but I would say I'm hopeful and think it is probably the case that there won't be many of those objections once people see how this is actually going to operate in practice. On the Fontenot case in particular…we do think that the settlement will make that case not a major event, to say the least. Certainly, I think people are going to have the right to come into the Northern District of California and raise concerns with the settlement if we have them. It may be that the Fontenot plaintiffs decide to do that, but I think you have to wait and see what they're going to get under the settlement and how it's going to operate for them and make an informed decision about that.” 

+ Current student-athletes will have three options regarding their participation in the settlement: they can opt in and accept the terms, they can opt out of the backward-looking damages piece and choose to pursue claims on their own, and/or they can opt out of the forward-looking agreement regarding the revenue structure. Kilaru emphasizes he believes few student-athletes will choose the latter two options, “but that’s their right. And then there’ll be a hearing at some point – I would guess maybe early next year, but it'll depend on the schedule – that the court sets a date where anyone who's objecting can come in and say, ‘Judge, you shouldn't approve the settlement. I don't like this aspect, I don't like that aspect of it.’ And our hope is at the end of that hearing the judge will say, ‘I understand the objections, I understand the concerns, but I'm approving the settlement.’ And with that kind of bang of the gavel, the injunction will be approved.” Moving forward, incoming student-athletes will have the same opportunity to raise objections. 

+ Kilaru believes the NCAA is in agreement with the plaintiffs’ attorneys that “it would be appropriate for Congress to act to essentially enshrine the settlement, and I think what that means concretely is [to] ensure that there is an antitrust liability for complying with it and then also preempt state laws that exist today that are inconsistent with it. So, that's something that I think is just part and parcel of and related to the desire to create something durable that we think we've done.”

LSU AD Scott Woodward weighs in on the new model proposed as part of the House settlement: “[The NFL] did change. But did it end it? Did it cause it to decline? Not really. I think this is kind of going to be similar, in my opinion. [College sports are] going to be different. Do I like the way it is? Do I prefer the way it was? Of course. But we’re going to thrive in the way it is and we’re going to make the best of it. … I'm most pleased with it because it's going to put some certainty back in what we do. Do I like it? Not necessarily. No one likes change. But I see this as a good opportunity for us because our athletic department had great success in this chaotic world that we're in right now with NIL and the (transfer) portal and all that stuff. I think that's a testament to LSU and the brand and how strong it is. I look forward to the future, frankly.” As for payment for the damages in the settlement, Woodward says the funding will come from several areas. “From growth in revenue, and everyone knows what that is. It's TV growth, it's admissions [ticket prices] growth, which we do very carefully. It's growth in our apparel contracts or multimedia rights contracts. And then a big part of this is us continuing to try to keep our expenses relatively sane and run it as efficiently as possible.” (link)

Tarleton State AD Steve Uryasz says the Texans will petition the NCAA to allow the baseball team to move on to the NCAA Tournament after winning the WAC title in the team’s inaugural season. (link)

While Arizona’s Pac-12 Tournament victory in baseball marked the final conference competition in the league’s current form, Sportico’s Michael McCann notes the league endures as a defendant in multiple legal proceedings, most notably the House settlement. McCann notes that in addition to Title IX and other details still to be ironed out there actually is not a settlement at the moment. “The deal also hasn’t been negotiated with a players’ union, so the non-statutory labor exemption doesn’t apply and settlement terms are subject to potential antitrust challenge. Likewise, the settlement doesn’t resolve whether college athletes are employees and can unionize, a topic playing at the National Labor Relations Board and, through Johnson v. NCAA, at the U.S. Court of Appeals for the Third Circuit. … The settlement will also have to overcome potential objections and legal challenges by players and dissatisfied member schools. It will need approval by U.S. District Court Judge Claudia Wilken and, if Wilken’s approval is challenged, by the U.S. Court of Appeals for the Ninth Circuit and possibly the U.S. Supreme Court as well. There are many hurdles ahead. While the Pac-12 might not be playing games anymore, its attorneys will be busy at work.” (link)

USA Today’s Dan Wolken adds more context to his recent article opposing private equity’s involvement in college sports: “One thing that has been consistent in talking with some people who sat down with Weatherford and heard their pitch is that the revenue growth they are projecting is fantasyland. For most schools, the big revenue items are more or less locked in for several years. … The big revenue items for the top athletic departments are TV, CFP distribution and the media rights they’ve sold to Learfield. Those are basically set for a while. Ticket sales are more dynamic but how much growth can you generate there? That doesn’t leave much.” (link)

With the curtain falling on Pac-12 athletic competitions, Commissioner Teresa Gould took to social media to tell the league’s student-athletes about the impact they’ve had on her life over the past 20+ years. “I will be forever grateful for the opportunity to work with the brightest and best student-athletes in the country. Young people who made an intentional choice to seek excellence and compete for national championships at rigorous and elite universities. Yet my greatest inspiration came not from your trophies, medals, or academic accomplishments, but from your commitment to leading outside of the competitive arena. You are leaders in your communities, champions for student-athlete rights, and advocates for social change. Your true superpower is using your voice to make a positive impact on the world. Having a front-row seat to this made myself and everyone around you better. … You have left me with a heart full of joy and gratitude, and memories that will last a lifetime.” (link)

The Athletic’s Mitch Sherman reports the Big Ten has renewed its contract with Omaha to continue hosting the conference baseball tournament at Charles Schwab Field through 2027. (link)

While the Big Ten is on an upward trajectory as a baseball league, The Athletic’s Mitch Sherman observes that built-in obstacles remain, including the RPI. Iowa HC Rick Heller recalls winning two of three games at Nebraska and 2022 yet falling in the RPI. “It’s just stupid.” And Sherman notes that “it’s not changing unless leaders in the sport agree to an overhaul. It must include a later start to the season, Heller said, allowing Big Ten teams to safely schedule home games early in the season and build a base of victories while playing more conference games like the SEC. The SEC has opposed previous pushes by the Big Ten to delay the start of the season. … The imminent entry of USC, UCLA, Oregon and Washington figures to boost the Big Ten baseball profile in the long term. Full scholarships and a new roster limit are possibly on the way. Why not look at a system that evens the access to resources – like warm weather and home games in the first month of the season – largely needed to compete for championships?” Heller’s on board, telling Sherman: “I really believe the rest of the country knows it’s the best thing for the game.” Illinois, which won the regular season title, now has a “touch of concern” about making the NCAA Tournament, and Illini HC Dan Hartleb says: “It’s in the back of all of our minds. I tell our guys throughout the year, don’t leave anything in somebody else’s hands. And the only way you can assure yourselves to get in the tournament is to win and keep winning.” (link)

New Arizona State AD Graham Rossini points to upgrades for Desert Financial Arena as a key initiative for his early tenure: “I’m the first one to say there’s a way for us to present our basketball product in a more modern fashion. It’s got great bones, there are some attributes that we can bring out of it but we are very much mindful of the expectation of the fan in today’s day and age and what they want to see from a venue. [...] It needs to be comfortable, it needs to be easy to navigate, it needs to be entertaining. The sound system, the scoreboard, etc. are all areas that we’re looking at. How do we make those improvements that are fan-focused in their mind?” (link)

The ACC paid $7.23M to attorneys in FY23, the most of all the Power 5 leagues during the year. Former Big Ten outside counsel Jon Barrett received $888,588 from the ACC before his retirement in February. The league also paid $1.76M to firm Fox Rothschild, which has defended the conference on a number of litigation matters, including House v. NCAA. (link)

SEC Commissioner Greg Sankey commented yesterday on the timeline of decisions as next steps in the NCAA-House settlement: “As I understand – so, I’m not in charge of everything, despite what some people will say - not in the next couple of months. The next couple of months will be that process – the ability to walk through the legal system, the court system, a longer-form agreement. Decisions that can be made, then, at the conference level about certain structural issues, some national policy changes that need to take place. And then, it goes through the legal process that takes months upon months. I look out, probably a year from now when we’ll have – we have a level of clarity now. But we’ll have more clarity as we walk through these next 12 months.” More from Sankey: “There is no better time to be a student-athlete than right now. Period. And we have to protect those opportunities, and we have to also acknowledge there are limits. We’re going to have some hard decisions to make over the next few years as we transition to this new model. But we’ve got an opportunity, I think, to control elements of our future and keep these broad-based programs intact.” (link)

MAAC Commissioner Travis Tellitocci: “I would say the most disheartening thing for me is that we now have to make difficult decisions as to what budget items will be cut that obviously will negatively impact the student-athlete experience over the next 10 years. [...] I’m not in favor of the MAAC being held liable for damages that primarily benefits athletes from the autonomy (power) conferences.” Siena AD John D’Argenio chimes in: “The devil is in the details, but certainly it impacts the services we can deliver to the athletes, right, because we’re going to lose a percentage of our revenue distribution, some of which is earmarked for things like academic enhancement services. We’ll have to make some changes, so unfortunately, it could impact the experience we give our athletes.” (link)

Athletes.org co-founder Jim Cavale adds perspective on the House settlement to Front Office Sports: “I think you’re going to see a lot of athletes opt out of this and speak up. They’re not just going to take this like I think the leaders in college athletes are expecting.” (link)

Opendorse Co-Founder/CEO Blake Lawrence on the future of collectives in light of the NCAA-House outcome: “One of the key functions of a collective is properly managing payroll for a sport. And that skill set that’s been developed is now going to be required for every single (power conference) school. Will schools hire key members of their collective, the ones responsible for managing and moving money, negotiating with parents and players, and move that internally? Or would schools hire the collective as their NIL agency, and shift some of their risk away from the school into the third-party to manage the distribution of those NIL payments?” (link)

On the Title IX debate surrounding House, Title IX specialist Dan Cohen tells Forbes’ Kristi Dosh: “There may be a viable theory where conferences distribute payments directly to student-athletes under a fair market valuation approach, which might avoid some Title IX implications if the shared revenue does not actually pass through the schools. However, conferences may be wary to do so. The NLRB is already advancing a ‘joint employer’ theory against Southern Cal and the Pac-12, and conferences may be cautious about their own potential liabilities. We’ll have to see the final settlement structure, but gate receipts and sponsorship dollars likely could not be addressed in this manner. Title IX undoubtedly will come into play in numerous ways as schools implement the final revenue sharing structure as well as the new scholarship/roster cap structure.” Parker Poe attorney Lexi Trumble adds: “I can’t conceive of a world in which the landmark House settlement doesn’t implicate Title IX. [...] The U.S. Department of Education’s Office for Civil Rights has explained in guidance documents that, ‘Athletic financial assistance includes any financial assistance expenditures through the institution's athletics program and any other aid that is connected to a student's athletic participation.’ If these House payments are routed through a school’s athletics department—if they bring the compensation on-campus—the school’s involvement in those transactions, in my opinion, likely triggers Title IX.” (link)

Colorado football student-athlete Shilo Sanders filed for bankruptcy in October with $11M+ in debt. Per USA Today’s Brent Schrotenboer: “The debt stems primarily from what a court in Texas says he owes to a security guard at his former school − a man who claimed Sanders assaulted him in 2015 and gave him severe and permanent injuries, including ‘neurological injuries and damage to his cervical spine.’ The security guard, John Darjean, sued Sanders for damages from this incident and won a $12 million judgment against him after Sanders failed to show up for trial in 2022.” Darjean is still trying to collect and has raised questions about Sanders’ earnings from NIL deals, specifically alleging that Sanders transferred said deals to his company, Big 21, LLC, as a way to keep the earnings protected from Darjean. Sanders legal team says he has done nothing wrong and in February noted: “Shilo is the honest but unfortunate debtor looking to get his fresh start in life, free from the oppressive burden of his debts, including the default judgement to the Plaintiff.” More. RealResponse Founder/CEO David Chadwick joins Connect’s Stephanie Garcia Cichosz to highlight some ways the organization is supporting student-athletes and administrators and the company’s ability to measure culture in order to increase retention and fans. Chadwick on the latter: “We talked about the student-athletes, we've talked about the staff, but the group that sometimes gets overlooked in the traditional sense of the area that we're talking about is the fan. It’s the person that's paying usually hard-earned money to be able to come and cheer on their team and we have developed products recently that are being used globally now for easy texting, easy messaging, easy email etc. We had several of our partner schools ask us why couldn't this be replicated in a similar way with the attendees that are coming to our events because we want to be able to prioritize their experiences. We might not know who they are per se to be able to upload them in the system like we are with their student-athletes, but if they have a concern, if they have a question, if they have general feedback, if there's something really serious going on – and there's a scale [from, for instance] there's no toilet paper in the bathroom to, ‘Hey, I'm a fan at this game and someone nearby me is yelling obscenities to the opposing team.’ A lot of the very large Power 5 football teams have had a reporting line or texting line in place, but sometimes the issues are happening in the smaller environment.” Full Q&A on Connect. Crakes Media Principal Patrick Crakes joins the Canzano & Wilner podcast to discuss the sports media environment and notes that for all the talk about streaming, only Amazon has stepped forward in a significant way, “but the real truth is they’re supplemental” rather than a “replacement for” because “80% of the content remains in the old, established system. … and now these deals are six to 10 years, don’t look for them to replace anytime soon.” Crakes also notes the College Football Playoff media deal with ESPN wasn’t the auction many thought it would be, but that doesn’t mean both sides didn’t receive value. On Fox sitting out the bidding process: “Fox is fine. At some point in the current era, you have what you need to optimize your business. You don’t need everything, certainly not in this era.” On the SEC and Big Ten: “If it came down to it, guys, those two conferences don’t need anybody else. They could do their own postseason and just invite people. If you come, great; if you don’t, super. Now, it’s not optimal. I don’t think they want that, but knowing that’s your fallback position, that’s not the end of the world.” Crakes advises those in big leagues to “get your deals done. Stop screwing around. Don’t wait for an auction. Get locked down, get through this so we can figure out what the landscape looks like. And in the end I feel like there’s bundling, guys, and it's got to be a bundle that doesn't look like the old pay TV bundle but still has the same concepts of bundling, which are universal. It allows you to scale, you can offer people a bunch of stuff at wholesale prices, you can get some commitment from them. You’re building a business that sustains these ever-growing, more expensive media rights, which, by the way, for college football, they might not double but they're not going to go backwards.” Full podcast.
